Terms of Service

1. Acceptance of Terms

By accessing or using LinkDrop ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

LinkDrop is a document sharing platform for uploading PDF documents, sharing them through trackable links, and summarizing and comparing them with AI. The Service is provided by LNKDRP Technologies LLC, a California limited liability company ("we," "us," or "our"). "LinkDrop" is the name of the Service; these Terms are an agreement between you and LNKDRP Technologies LLC.

2. Description of Service

LinkDrop provides a platform for:

  • Uploading and storing PDF documents, including documents imported from a URL you provide
  • Creating share links for documents, with optional password protection and control over whether recipients can download the PDF
  • Organizing documents into projects
  • AI-generated summaries and key points, and AI compare of document versions, shown to you and, for summaries and key points, to the people you share with
  • Tracking how shared documents are viewed: views, pages read, time spent on each page, pages returned to or skipped, and downloads
  • AI-written visit briefs, which describe one reader's visit, and reader summaries, which describe one contact's reading across all their visits, together with each contact's reading history
  • Workspaces where collaborators share documents, projects, and a billing plan
  • Email notifications about document activity, which you can turn off in your settings
  • Posting workspace activity, visit briefs and reader summaries to Slack channels a workspace owner or admin chooses

View notifications, which tell you that someone opened a document shared from your workspace, are sent to workspace members by default and can be turned off per member from any such email or from settings.

Notification change, effective September 16, 2026: we now email workspace members when someone opens a document shared from their workspace. These emails are on unless a member turns them off.

Programmatic access for AI agents and other software (for example over MCP, an API, or a CLI) is made available as we release it. When it is, the same Terms apply to anything an agent does on your behalf, and you are responsible for the agent's actions under your account.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Accounts and Access

Accounts are created by signing in with Google. We do not issue passwords. You are responsible for:

  • Keeping your Google account secure, since anyone who can sign in to it can access your LinkDrop account
  • All activity that occurs under your account, including activity by collaborators you invite and by agents or software you connect
  • Notifying us promptly at hi@lnkdrp.com of any unauthorized use of your account

Some parts of the Service can be used without signing in. In that case we create a lightweight anonymous identity stored in your browser. Anything you create that way is tied to that browser until you sign in and claim it, and we cannot recover it for you if the browser data is cleared.

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Workspaces and Membership

A workspace belongs to the account that created it. Its owner and admins can invite people, choose the role each person gets, and remove them at any time. An invitation states the role it grants; accepting it adds you to that workspace and does not change anything about your own account.

Removal takes effect immediately. A removed member loses access to that workspace's documents, projects, share links and analytics, and we email them to say so.

Content stays with the workspace. Documents uploaded to a workspace, the share links created in it, and the analytics collected by those links belong to the workspace rather than to the individual member who made them. They remain in the workspace after that member leaves or is removed, and existing share links keep working for the recipients who hold them. A member's own account, and their other workspaces, are unaffected by being removed from someone else's.

The workspace owner is responsible for the workspace's plan and for anything done in it, including by collaborators and by agents or software connected to it. See Plans and Billing below.

5. Acceptable Use

You agree not to use the Service to:

  • Upload, share, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Upload malicious software, viruses, or other harmful code
  • Upload protected health information, as defined by the US Health Insurance Portability and Accountability Act (HIPAA). LinkDrop does not sign Business Associate Agreements
  • Attempt to gain unauthorized access to the Service or other users' accounts, documents, or workspaces
  • Use share links or email notifications for spam, phishing, or other fraudulent activities
  • Circumvent rate limits, password protection, download restrictions, or credit limits
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service

6. Content and Intellectual Property

Your Content: You retain ownership of any documents, data, or content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you. That processing includes extracting text and page images from your PDFs and sending them to our AI provider to generate summaries, key points, and version comparisons, and sending the text of the pages a reader spent time on or came back to when a visit brief is written.

Content You Receive: Documents that you save from a share link into your own account are stored in your workspace. You are responsible for handling them in line with any obligations you owe to the person who sent them.

Our Content: The Service, including its design, features, functionality, and all related software, is owned by LinkDrop and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

AI-Generated Content: The Service uses artificial intelligence to summarize and compare your documents and to describe how readers engaged with them in visit briefs and reader summaries. AI-generated content can be wrong or incomplete, and a description of a reader's interest or a suggested next step is an inference from reading activity, not a statement of fact about that person. It is provided for informational purposes only and should not be relied upon as professional, legal, financial, or investment advice.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

LinkDrop's administrators can see account and file metadata: document and project titles and descriptions, who owns them, dates, file sizes, activity counts, and billing records. They use it to operate, secure and support the Service. They cannot see the contents of your documents: not the files, their text, their page images, or the AI summaries and briefs written about them. Nor can they see what was sent to our AI provider or what it wrote back, or who read your documents: a reader's name, IP address and account are never shown to them, and a reader's email address appears only masked, as its first letter and domain.

When you delete a document, project or workspace, we keep it for 30 days. Within that window you can restore it from Recently deleted in the app, or ask our support team to restore it. After 30 days it is permanently removed and cannot be recovered.

LinkDrop is not a long-term archive or backup service, and we are not responsible for keeping your content indefinitely: keep your own copies of anything you need to keep. We keep reader analytics (visits, time per page, the activity feed and visit briefs) for two years and then delete them automatically; each link's per-reader totals stay as long as the link does. A document archived for more than one year moves to Recently deleted, where you can restore it for 30 days. If nobody signs in to a Free workspace that has never been paid for during two years, or to an account that has never paid during three years, we email a warning; if nobody signs in within 30 days of it, we remove the workspace's content or delete the account. Signing in once cancels the countdown. Workspaces and accounts with any billing history are never removed for inactivity. Our Privacy Policy lists every retention period.

You are responsible for ensuring that any documents you upload comply with applicable data protection laws and that you have the necessary rights and consents to store them, share them, and have them processed by AI through the Service.

8. Sharing, Public Links, and Viewer Tracking

The Service allows you to create share links for your documents. Anyone with a share link can open the document unless you set a password. You are solely responsible for:

  • Who you share your links with
  • Setting appropriate password protection and download controls
  • The content of documents you choose to share, including the AI summary shown alongside them
  • Complying with any confidentiality obligations related to shared documents

When someone opens your share link, the Service records how they interact with the document (pages viewed, time spent on each page, pages returned to or skipped, and downloads) and shows that activity to you and the other members of your workspace, as your plan allows. The Service may also use AI to write visit briefs and reader summaries about that reader, which are emailed to your workspace's members and, if you connected Slack, posted there. Their IP address is also recorded for security purposes but is not shown to you. Viewers may also choose to give their name and email, which is shown to you. If a viewer requests a download you have not enabled, you decide whether to approve it, and the viewer must sign in to receive the file. By using share links you agree to use this viewer information, including visit briefs and reader summaries, lawfully and only for purposes connected to the document you shared, and you are responsible for choosing who in your workspace and in any connected Slack channel can see it.

Reader profiles, effective October 2, 2026. Reader profiles are on by default, and a workspace owner or admin can turn them off on the Automations tab. While they are on, when a viewer introduces themselves on your share link or project link by typing their name and email and then confirms that email address, the Service may look up publicly available professional information about them (such as their role, employer and professional background, and at the Advanced level their public career history and recent public news about them) using their name and their email address's company domain, never by searching for the email address itself, estimate their approximate location (from the location our hosting provider derives from their IP address, the language setting their browser sends and the time zone the share page reports, or a work location such as their company's office that a public page states; the Service never looks up or shows where a viewer lives), assess how relevant they are to your document, and show you this together with their history with your workspace. Viewers who stay anonymous are never profiled, being signed in does not on its own lead to a profile, and a viewer whose browser sends a Global Privacy Control signal is not profiled. Research runs after the viewer confirms their email address; a workspace owner may still ask for a profile of a viewer who has not, and that profile says the address is not confirmed. Each profile costs credits at your workspace's level. Automatic profiles and automatic visit briefs never use on-demand credits, and each share link can start only a limited number of them a day. Reader profiles are AI-generated content (see above): they can be wrong, including about someone else with the same name. You agree to:

  • use them lawfully, in line with the privacy and data protection laws that apply to you and to the viewer;
  • use a profile only for the conversation the shared document started, such as following up with that viewer about the document, and not to build or enrich marketing lists, resell, or share it with anyone outside your workspace;
  • not use a profile, or the Service, to infer or record a viewer's sensitive characteristics (including health, religion, ethnicity, sexual orientation, political opinions or union membership), or to make decisions about a person's employment, credit, housing or insurance;
  • promptly honour a viewer's request to stop using or delete information about them, and tell us at support@lnkdrp.com if you receive one the Service should act on.

Viewers can also ask LNKDRP Technologies LLC directly, at support@lnkdrp.com, to delete their reader profile. We will delete it from your workspace without asking you first. Reader profiles are visible only to your workspace; LinkDrop's administrators cannot see them. They are shown in LinkDrop only, never included in emails or posted to Slack, and you are responsible for who in your workspace can see them. We may turn off reader profiles for a workspace that misuses them.

We are not responsible for unauthorized access to your documents that results from your failure to secure your share links or account credentials.

9. Plans and Billing

The Service has a Free plan and a paid Pro plan. Plans are bound to a workspace, not to an individual. Current limits and prices are listed on our pricing page, which forms part of these Terms.

Free: 10 shared documents (each with as many share links as you need), 2 projects (each with as many project links as you need), full reader analytics (who each reader is, how they read, page by page, and every visit over the whole history), visit briefs and reader summaries paid with credits, and no collaborators. AI summaries, version history compares, and other AI features use credits; letting recipients browse earlier versions is not available. When you reach a limit, existing links keep working; you can archive a document to free a slot or upgrade to Pro.

Pro: everything in Free, plus unlimited shared documents and projects, a version list recipients can browse, a monthly credit allowance, and collaborators. 3 collaborators are included beyond the workspace owner. A collaborator is someone who can upload, share or replace documents; people invited as viewers, who can read documents and analytics but change nothing, are free and unlimited. Collaborators are people; software agents acting under a collaborator's account never take a seat. Additional collaborator seats will be announced and priced before they are billed.

AI features and credits: AI features are metered in credits. Links, uploads, replacements, and stats never need credits. The automatic summary written for every upload costs one credit. We always write the summary ourselves; an AI agent or API caller cannot supply its own in its place. The summary costs nothing for files that recipients upload through a request or replace link. AI compare costs more, by level, and every cost is listed on the pricing page before it runs. A visit brief costs one credit at the Standard level, or three credits at the Advanced level if an owner or admin chooses it, except the one brief a Free workspace receives at no charge, which is written at Standard. A reader summary costs one credit at Standard, or three at Advanced, each time it is written, on every plan (on Free from starter or purchased credits, never billed on demand), whether a member asks for it or it is refreshed automatically after each brief (on by default; an owner or admin can turn it off); an unchanged summary is shown again without charge, and a summary that fails to be written is not charged. From October 2, 2026, the reader profile replaces the reader summary: it costs 3 credits at Standard, or 6 at Advanced, once per reader who introduces themselves and confirms their email address (on by default; an owner or admin can turn it off), and again only when they come back more than 30 days later or a workspace owner clicks Refresh research; updates to a profile's history after later visits are free, and research that fails is refunded. Pro workspaces receive 500 credits each billing cycle, which do not roll over. A Pro workspace billed monthly can buy more on demand at $0.10 per credit under a spend limit you set; a Pro workspace billed yearly has no on-demand credits and may buy prepaid credit packs instead. Free workspaces receive 100 starter credits, once. Free workspaces, and Pro workspaces billed yearly, may buy prepaid credit packs (75 credits for $7, 150 credits for $14, 400 credits for $37); purchased credits are used after any starter or included credits and expire 12 months after purchase. Purchased credits stay with a workspace that later upgrades to Pro. A Free workspace whose starter credits are used may buy a pack or upgrade to Pro. When a workspace is out of credits, uploads still complete and links, tracking, and stats keep working; the AI summary is skipped and can be written later from the document page, and AI compare and other AI actions stop until credits are added or the workspace upgrades. We will not raise the credit cost of a feature without notice.

Pricing change, effective September 13, 2026: the automatic AI summary costs one credit. It was previously included. Starter credits already granted before that date are kept in full.

Pricing change, effective September 16, 2026: personal Free workspaces no longer receive a monthly top-up; starter credits are granted once. Workspaces can buy prepaid credit packs, whose credits expire 12 months after purchase.

Pricing change, effective September 17, 2026: credit packs are sold to Free workspaces, and on-demand credits are available on Pro only. Pro workspaces add credits with on-demand usage. Credits already purchased are kept.

Pricing change, effective September 30, 2026: the automatic AI summary is always written by us and costs one credit. A summary supplied by your own AI agent through our MCP server or API is no longer accepted in its place.

Clarification, October 2, 2026: on-demand credits are available on Pro billed monthly. Credit packs are sold to Free workspaces and to Pro workspaces billed yearly. Pro is billed monthly or yearly in advance. This states how the plans already worked; no price changed.

Enterprise: features listed for Enterprise on the pricing page are offered only under a separate written agreement. Nothing in these Terms, the pricing page or elsewhere on the Service promises that a feature not yet available will be delivered, or when.

If you purchase a Pro subscription, on-demand credits, or a credit pack:

  • Subscription fees are billed monthly or yearly in advance, according to the plan you choose; on-demand credits are billed at the end of each billing period based on usage
  • Credit packs are charged once, when you buy them; unused purchased credits expire 12 months after purchase
  • All fees are non-refundable except as required by law
  • We reserve the right to change prices and plan limits with 30 days' notice
  • Your subscription will automatically renew unless cancelled before the renewal date
  • Pro may be offered with a free trial, whose length is shown at checkout. A card is required to start it. The first subscription fee is charged when the trial ends unless you cancel before then, in which case nothing is charged. On-demand credits are available once that first fee has been paid. A workspace is eligible for one trial, and so is a person; a workspace that has had a Pro subscription before, or that is upgraded by someone who has had one in any workspace, including one since deleted, is billed from the first day
  • You may cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period, after which the workspace returns to the Free plan and its limits apply again

We use Stripe to handle payments. Your card details are entered on and stored by Stripe, not by us. By providing payment information, you agree to Stripe's terms and conditions.

10. Service Availability and Modifications

We strive to provide reliable service but do not guarantee that the Service will be available at all times or free from errors, interruptions, or security vulnerabilities. We may:

  • Perform scheduled maintenance that may temporarily interrupt service
  • Modify, update, or discontinue features of the Service
  • Impose usage limits, rate limits, file size limits, or credit limits
  • Suspend or terminate access for violations of these Terms

We are not liable for any loss or damage resulting from service interruptions or modifications.

11. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

To the maximum extent permitted by law, LinkDrop and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service, including reliance on AI-generated content.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless LinkDrop and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any rights of another party.

13. Termination

You may stop using the Service at any time, and you can delete your account yourself from your dashboard. Your account stops working immediately (your API keys are revoked, and share links in workspaces you own alone stop resolving), and the data is erased 30 days later, which is the window in which you can change your mind by emailing hi@lnkdrp.com. We do not yet offer self-service data export, so to receive a copy of your data, email us before you delete. We may suspend or terminate your account immediately, without prior notice, if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

Upon termination, your right to use the Service will cease and your share links will stop working. We may delete Your Content and account data, though we reserve the right to retain certain information as required by law or for legitimate business purposes (for example, billing records). We are not obligated to provide you with a copy of Your Content upon termination, so download anything you need beforehand.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LinkDrop operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and LinkDrop regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
